Terms of Service
1. Agreement
By installing or using thatsaid (the macOS and iOS apps, Cloud Sync, and the MCP server at mcp.thatsaid.app, together the “Service”), you agree to these Terms and our Privacy Policy. thatsaid is provided by Maxxon Ventures LLC (“we”, “us”). If you use the Service for an organization, you agree for that organization. Section 15 contains a binding arbitration clause and class-action waiver.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live, to use thatsaid.
3. The Service
thatsaid records conversations, transcribes them on your device, generates titles and summaries, optionally syncs transcripts and summaries through Cloud Sync, and lets AI agents you connect read your transcripts. Audio recordings stay on your device and are not uploaded by Cloud Sync. The Service is provided “as is”; transcripts and summaries may be inaccurate and must not be relied on as a verbatim or legal record.
4. Recording consent is your responsibility
Recording laws differ by place. You alone are responsible for complying with them. You agree to:
- Get everyone’s consent before recording wherever the law requires it, including California, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Pennsylvania and Washington, any place where you’re unsure, and any call or meeting with someone located in such a place.
- Never use thatsaid to record conversations you are not part of, or to record anyone covertly or where they have a reasonable expectation of privacy without consent.
- Tell participants when you are recording.
- Stop recording and delete the recording if a participant objects, where required.
- Comply with workplace, school, healthcare (for example HIPAA) and other confidentiality rules that apply to you.
thatsaid’s in-app consent guidance is general information, not legal advice.
5. Your content
You own your recordings, transcripts and summaries (“Content”). You give us a limited license to host, process, transmit and display Content only to provide the Service to you, including delivering it to agents you connect. We do not sell your Content, use it for advertising, or use it to train AI models.
6. AI agents and MCP access
- You choose which agents connect. Each gets its own access, limited to read-only transcript search and reading.
- Revoke any agent at any time in Settings → Agent Access; access ends immediately.
- Agents are third-party services governed by their own terms. We are not responsible for what an agent does with Content it retrieved for you.
- Don’t use the MCP server to exceed your granted access, access other accounts, or overload the Service.
7. Accounts and security
Keep your credentials and two-factor authentication secure; you are responsible for activity under your account. Tell us at [email protected] about any unauthorized use.
8. Acceptable use
Don’t: violate wiretap, eavesdropping or privacy laws; record covertly; harass, stalk or surveil anyone; record minors without parent or guardian consent where required; upload unlawful or infringing content; reverse engineer the Service except as law permits; interfere with or probe the Service’s security; or resell the Service without permission. We may suspend accounts that violate these Terms.
9. Fees
thatsaid is currently free. If we introduce paid features, we will show the price and terms before you buy, and App Store purchases are also subject to Apple’s terms.
10. Third-party components
The apps include open-source components (for example FluidAudio, NVIDIA Parakeet and MLX) under their own licenses, listed in the app’s About → Licenses.
11. Termination
You may stop using thatsaid and ask us to delete your account at any time (see Delete your data). We may suspend or end access for violations or legal risk, with notice where practical. Sections 4, 5 (ownership) and 12–16 survive termination.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, Maxxon Ventures LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or lost data or profits. Our total liability for all claims is limited to the greater of (a) amounts you paid us in the 12 months before the claim or (b) US$100.
14. Indemnity
You will defend, indemnify and hold harmless Maxxon Ventures LLC and its officers, employees and agents from claims, damages and costs (including reasonable attorneys’ fees) arising from your Content, your recordings (including failure to obtain required consent), your connected agents’ use of your data at your direction, or your breach of these Terms or the law.
15. Disputes and arbitration
Binding individual arbitration. You and Maxxon Ventures LLC agree to resolve any dispute arising from these Terms or the Service by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. Class-action waiver: claims may be brought only individually, not as a plaintiff or class member in any class, consolidated or representative proceeding. If 25 or more similar demands are filed by the same or coordinated counsel, they may be administered in batches under the AAA’s mass-arbitration procedures. Opt-out: you may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with your name and a clear statement that you opt out.
Governing law. These Terms are governed by the laws of the State of Illinois, excluding conflict-of-law rules; non-arbitrable claims will be brought in the state or federal courts located in Illinois. Consumers in the EEA and UK keep the protections of their local law.
16. General
We will give notice of material changes before they take effect; continued use means acceptance. These Terms and the Privacy Policy are the entire agreement. If a provision is unenforceable, the rest stays in effect. Failing to enforce a provision is not a waiver. You may not assign these Terms; we may in a merger or acquisition. For App Store downloads, Apple is not a party to these Terms and has no obligation to support the app.
